Framework Terms of Sale
Effective date: April 7, 2026
PLEASE READ THESE TERMS OF SALE (THE “TERMS”) CAREFULLY BEFORE ORDERING ANY PRODUCT OFFERED BY FRAMEWORK COMPUTER INC (“FRAMEWORK”).
NOTICE REGARDING DISPUTE RESOLUTION: FOR CUSTOMERS IN THE UNITED STATES, THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECT YOUR RIGHTS FOR RESOLVING DISPUTES WITH FRAMEWORK. PLEASE READ ARTICLE 16 CAREFULLY.
Article 1: Scope and Agreement
1.1 Parties to the Agreement. These Terms constitute a legally binding contract between you or the entity you represent (“Customer”, “you”, or “your”) and Framework Computer Inc., a Delaware corporation (“Framework”, “we”, us”, or “our”).
1.2 Acceptance of Terms. By clicking the “Place Order” or “Place Pre-order” button, you agree to be bound by these Terms to the exclusion of all other terms. If you do not agree to these Terms, you must not purchase any Product.
1.3 Geographic Applicability. These Terms apply specifically to purchases made from Framework Computer Inc. by customers located in the United States, Canada, Singapore, Taiwan, Switzerland, and New Zealand. Separate terms and legal entities govern purchases made in the United Kingdom, Australia, and the European Union including Norway.

Article 3: Changes to the Terms and Language
3.1 Right to Modify. Framework reserves the right to change the Terms at any time. Changes will not affect Orders or Pre-orders accepted before the changes take effect.
3.2 Governing language. Any version of these Terms in a language other than English is provided for convenience only. The English version shall govern in the event of any conflict or inconsistency.
Article 4: Order Acceptance
4.1 Accuracy of Information. When placing an Order or Pre-Order, you are required to provide accurate address, billing, and contact information. You represent and warrant that all such information is current and complete. Framework is not liable for any loss resulting from your failure to provide correct delivery or contact information.
4.2 Acknowledgement and Acceptance. After you place an Order or Pre-order, we will acknowledge receipt of your request. This acknowledgement does not constitute acceptance. A contract is only formed when we confirm our acceptance of your Order via email.
4.3 Right to Reject or Cancel. Framework reserves the right to decline, reject, or cancel any Order or Pre-order, or limit order quantities, at any time for legitimate reasons, including but not limited to:
- Obvious and unmistakable errors in pricing, descriptions, or promotions;
- Invalid or unsupported shipment addresses (including known freight forwarders);
- Payment processing issues or suspected fraud.
If you have already been charged, we will refund you the full amount of the cancelled Order or the adjusted portion of the Order, including applicable taxes and delivery charges.
4.4 Pricing and Taxes. * United States: Prices are exclusive of applicable sales tax. Sales tax will be calculated and added at checkout based on your shipping address.
- International (Canada, Singapore, Taiwan, Switzerland, New Zealand): Products are shipped Delivered Duty Paid (DDP). The price displayed at checkout includes applicable import duties and local taxes (such as GST or VAT). Framework (via our designated carriers) will manage the customs clearance process and payment of these fees on your behalf. You are responsible for providing any information requested by customs authorities to facilitate the import.
- Payment: Payment is due upon the conclusion of the contract unless otherwise agreed. Available payment methods will be displayed during the checkout process.
Article 5: Shipping and Delivery
5.1 Delivery address. The Product will be delivered to the delivery address specified during the checkout process. You are solely responsible for providing a correct, complete, and current address. Framework has no obligation to verify or determine the correct shipping information and is not liable for any loss or mis delivery resulting from inaccurate information provided by you.
5.2. Shipping Options and Costs. The Product will be shipped according to the shipping option selected by you during the ordering process. Shipping costs and estimated dispatch dates will be detailed at checkout.
5.3 Delivery estimates. Dispatch and delivery dates are estimates only and are not guaranteed. While Framework will notify you of significant changes impacting the delivery of your Product, Framework is not liable for delays caused by carriers, customs clearance, or other factors beyond our reasonable control.
5.4 Risk of Loss and Title. For all Orders and Pre-orders, the risk of loss and title for the Product pass to you upon physical delivery of the Product to the shipping address specified in your Order.
Article 6. Pre-orders
6.1 Pre-order Deposit. Each Pre-order acts as a deposit for a future purchase. You will be charged a Pre-order deposit, plus any applicable taxes, at the time of placing the Pre-order.
6.2 Final payment. The remainder of the purchase price, including applicable taxes, shipping and other costs, will be charged when the Product is ready for shipment. Framework will attempt to charge the payment method on file. If the payment fails, we will notify you via your Contact Information.
6.3 Failure to Complete Order. If you do not complete your Order by updating your payment method and paying the full remainder due within 30 days of our notice, Framework may, at its sole discretion, cancel the Pre-order and refund your deposit.
6.4 Unclaimed Refunds. If Framework is unable to process a refund after a Pre-order cancellation (e.g., due to an expired credit card), we will attempt to contact you. If you do not respond within 90 days, or if the refund remains unsuccessful, Framework will handle such funds in accordance with applicable unclaimed property (escheatment) laws in your jurisdiction. You remain responsible for requesting the refund of any such unclaimed amounts.
6.5 Delivery Delays and Cancellation. Dispatch dates for Pre-orders are estimates. If a significant delay arises, we will provide updates via your Contact Information. You may cancel your Pre-order for a full refund of your deposit at any time prior to the second payment being processed. Once the full purchase price is paid, our standard Cancellation, Return, and Limited Warranty Policies (Articles 7, 8, and 9) will apply.
Article 7. Order Cancellation
7.1 Cancellation Requests. Framework strives to process and deliver orders in a timely manner. Prior to the shipment of your Order, you may request a cancellation by contacting Framework Support at support@frame.work.
7.2 Confirmation. A cancellation is only effective once Framework sends a confirmation email to the address provided in your Order. If the Product has already entered the shipping process, a cancellation may no longer be possible, and you must instead follow the Return process outlined in Article 8.
7.3 Refunds. If a cancellation is confirmed by Framework, you are entitled to a full refund of the purchase price. Framework strives to process refunds to your original payment method within a reasonable period of time.
Article 8: Geographic Availability
8.1 Supported Regions. Framework only ships Products to officially supported countries and regions. A list of supported regions is available on our website and will be validated during the checkout process. If your shipping address is outside of these supported regions, Framework reserves the right to reject or cancel your Order or Pre-order.
8.2 Sub-region Restrictions. Please note that not all subregions, territories, or islands of a supported country may be eligible for delivery.
8.3 Use of Freight Forwarders. Framework does not officially support the use of freight forwarders or third-party international shipping services. If you choose to use a freight forwarder to ship a Product to a region not officially supported by Framework:
- You are the sole exporter of record and are responsible for compliance with all export and import laws.
- Framework is not liable for any damage, loss, or customs issues that occur after the Product has been delivered to the freight forwarder’s address.
- Your ability to access warranty services or returns may be severely limited or voided, as Framework only provides return labels and repair services within officially supported regions.
Article 9: Environmental Responsibility and E-Waste
9.1 Repair and Longevity. Framework Products are designed to be repaired and upgraded. We encourage you to extend the lifespan of your Product through the use of replacement parts and modules available in the Framework Marketplace.
9.2 Disposal and Local Laws. When a Product or component reaches the end of its life and can no longer be repaired, it must not be disposed of as unsorted municipal waste. You are responsible for complying with the electronic waste (e-waste) laws and regulations in your specific jurisdiction.
9.3 Regional Requirements.
- United States & Canada: You should utilize municipal or state-sponsored e-waste collection programs for the disposal of your Product. In certain states (e.g., California), a mandatory electronic waste recycling fee may be assessed at the time of purchase as required by law.
- Singapore: In accordance with the Resource Sustainability Act, Framework offers a one-for-one take-back service for equivalent ICT equipment at the time of delivery of a new Product. To request this service, please contact support@frame.work prior to your delivery date.
- Other Regions (TW, CH, NZ): Please refer to your local government or environmental authority for information on authorized e-waste drop-off locations.
Article 10: Returns and Refunds
10.1 30-Day Return Policy. Framework offers a voluntary return period. You may request to return an eligible Product for any or no reason within 30 days of the date the Product was delivered to you.
10.2 Eligibility and Condition. To be eligible for a refund, the Product must be returned in its original packaging, including all accessories and components. Framework reserves the right to reduce the refund amount or reject the return if the Product shows signs of wear, damage, or unauthorized modification.
10.3 Return Shipping Costs. Unless the Product is being returned due to a confirmed defect covered by our Limited Warranty (Article 12), you are responsible for the costs of shipping the Product back to our designated return center.
10.4 Refunds. Once we receive and inspect the returned Product, we will process the refund to your original payment method within a reasonable period. Original shipping charges are non-refundable.
10.5 Ineligible Items and Detailed Policy. Certain items, such as software downloads, personalized items, or items clearly marked as "Final Sale" at the time of purchase, are not eligible for return or refund. Article 11: Use of the Product and Restrictions
11.1 Personal use. Framework sells and ships Products to consumers only for personal use only. You agree to comply with all laws that apply to your use of the Product.
11.2 Software licenses. Any software incorporated into or provided for use in a Product is licensed, not sold. You are granted a non-exclusive, non-sublicensable license to use such software solely within the Product it was provided with. You may not copy, modify, or use the software for the benefit of any third party.
Article 12: Third-Party Components
12.1 Third-Party Software. The Product contains software owned or supplied by third parties (“Third-Party Components”). Your use of these components is subject to the terms and conditions imposed by those third parties.
12.2 Responsibility. Framework is not responsible for the operation of Third-Party Components that are not essential to the core functionality of the Product. Any interaction between you and a third-party provider is solely between you and that provider.
Article 13: Limited Warranty and Warranty Disclaimer
13.1 Limited Warranty. Framework branded Products are covered by the Framework Limited Warranty (“Warranty”): frame.work/warranty. This Warranty applies in addition toany mandatory statutory rights you may have under local law (such as the New Zealand Consumer Guarantees Act or Singapore Lemon Law).
13.2 Warranty Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAMEWORK DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Article 14: Limitation of Liability
14.1 Personal Use Only. Framework sells and ships Products to consumers for personal use only. If you use the Products for any commercial, business, or re-sale purpose, Framework will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
14.2 EXCLUSION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FRAMEWORK, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PRODUCT.
14.3 TOTAL LIABILITY CAP. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FRAMEWORK’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PRODUCT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO FRAMEWORK FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
Article 15: General Provisions
15.1 Assignment and Transfer. This contract is between you and Framework. You may not assign or transfer your rights or obligations under these Terms to any other person without our prior written consent. Framework may transfer our rights and obligations under these Terms to another organization, but this will not affect your rights or our obligations under these Terms.
15.2 Severability. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.
15.3 No Waiver. If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.
15.4 Entire Agreement. These Terms, including the Order confirmation and any policies referenced herein (such as the Limited Warranty), constitute the entire agreement between you and Framework regarding your purchase and supersede all prior agreements or understandings.
Article 16: Governing Law and Dispute Resolution
16.1 Governing Law. These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
16.2 BINDING ARBITRATION (United States Customers Only). If you are a resident of the United States, you and Framework agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in San Francisco, California, before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. JUDGMENT ON THE AWARD MAY BE ENTERED IN ANY COURT HAVING JURISDICTION. THIS CLAUSE SHALL NOT PRECLUDE PARTIES FROM SEEKING PROVISIONAL REMEDIES IN AID OF ARBITRATION FROM A COURT OF APPROPRIATE JURISDICTION.
16.3 CLASS ACTION WAIVER (United States Customers Only). YOU AND FRAMEWORK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Framework agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
16.4 Mandatory Local Law Protections. Notwithstanding Section 16.1, if you are a consumer resident in a jurisdiction outside the United States (such as Canada, Singapore, Taiwan, Switzerland, or New Zealand), you will benefit from any mandatory provisions of the consumer protection laws of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory local law provisions. If local law prevents a dispute from being governed by Delaware law or resolved via arbitration, the jurisdiction shall be determined in accordance with the statutory rules of your country of residence.
